These Terms of Service govern your access to and use of the Metro Meter mobile application and related services. By using Metro Meter, you agree to these terms. The binding arbitration provisions below affect how disputes are resolved and include a waiver of court and jury trials for covered claims, subject to stated exceptions.
1. The Service
Metro Meter is a configurable fare-tracking, route, work-session, receipt, payment-handoff, and optional rider-location-sharing application. Metro Meter may use device location, background location during active rides or mileage-tracked work sessions, local and cloud storage, and links or QR codes you choose to share.
2. Accounts and Acceptable Use
The basic meter can be used without an account. You are responsible for safeguarding any account and sharing links you create and for complying with all laws, regulations, licensing rules, transportation rules, tax obligations, and platform terms that apply to your work or location.
3. Fare Estimates and Legal Compliance
Metro Meter provides tools for tracking and calculating fares, but it does not guarantee that a fare, tariff, receipt, route, distance, time calculation, surcharge, or total is legally valid in your city, state, country, airport, fleet, taxi authority, or transportation network. You are solely responsible for verifying that your rates and use of the app comply with applicable laws and business requirements.
4. Location and Background Tracking
Metro Meter uses location data to calculate ride distance, show ride progress, generate trip records, and provide live sharing you enable. Background location may continue during an active ride when the app is not visible. You can control location permission through device settings. Disabling it may prevent these features from working.
5. Live Location Sharing
You control whether to share location with a rider. You are responsible for selecting recipients, protecting tracking links, obtaining any consent required by law, and stopping access when it is no longer appropriate. Live location may be delayed, inaccurate, interrupted, or unavailable because of device settings, GPS conditions, connectivity, battery restrictions, or service outages.
Do not use sharing links to stalk, harass, monitor without authorization, or violate another person’s privacy or safety. A link recipient must not attempt to bypass device claims, expiration, revocation, or other access controls.
6. Receipts and QR Codes
Metro Meter may generate receipts and QR codes for sharing ride details. You are responsible for confirming receipt accuracy before sharing it with passengers, customers, employers, tax authorities, or any third party.
7. Payment Handoffs
Cash is collected directly. Other than cash and Square, payments are handled through the payment apps you select; Square payments open the Square app on your device. Metro Meter supplies payment links or QR codes and records ride payment information, but has no access to your payment app accounts and is not the payment processor. Verify your payment app usernames before sharing a payment request and confirm receipt in the payment provider before marking a ride paid. Metro Meter does not guarantee successful payment, settlement, recovery of a payment sent to the wrong account, or refunds. Payment-provider terms and fees apply.
8. Trials and Subscriptions
Metro Meter may offer app access trials and optional auto-renewing Premium subscriptions. Eligibility, duration, price, billing period, and any introductory offer are shown before purchase. The Apple App Store or Google Play bills purchases made through that store. Subscriptions renew unless canceled through the store where they were purchased. Deleting Metro Meter or your Metro Meter account does not automatically cancel a subscription.
9. Refunds
Refund eligibility, requests, decisions, and payment timing are subject to the terms and refund policies of the Apple App Store or Google Play, depending on where you made the purchase. Metro Meter does not issue or decide refunds for purchases processed by those stores.
10. Acceptable Use
You agree not to misuse Metro Meter, interfere with the app, reverse engineer protected components, use the app for unlawful activity, submit false or misleading information, or rely on the app in a way that violates transportation, consumer protection, tax, employment, or licensing laws.
11. No Professional Advice
Metro Meter does not provide legal, tax, accounting, transportation licensing, or regulatory advice. You should consult qualified professionals or local authorities for requirements that apply to your business or driving activity.
12. Privacy
Metro Meter handles information as described in the Privacy Policy. By using third-party sign-in, maps, subscriptions, or payment handoffs, you also interact with those providers under their terms and policies.
13. Cloud Synchronization and Local Data
Metro Meter is local-first. The app normally records business changes on your device before attempting cloud synchronization. Supported signed-in versions may synchronize eligible completed rides and financial records, rate cards, Regular Rider records, work sessions, settings and payment handles, and completed-route replays as individual versioned changes. Active rides, active GPS samples, device permissions, payment-provider sessions, saved places, and changes that have not been acknowledged by the synchronization service are not recoverable through ordinary cloud sync.
Cloud synchronization is not a substitute for records you must keep for business, tax, licensing, regulatory, or legal purposes. Network, device, entitlement, encryption-key, service, conflict, migration, corruption, or storage failures can delay or prevent upload, download, recovery, or deletion. Review synchronization status and unresolved conflicts before erasing app data, uninstalling the app, disposing of a device, or relying on another device.
Metro Meter does not treat a record's absence from one device as a deletion and does not replace an existing local database with a whole-account snapshot during ordinary recovery. A deletion must be explicit. Conflicting changes may require your review, and a selected resolution creates another version rather than erasing prior history immediately. Metro Meter may retain or archive synchronized versions, tombstones, conflict records, mutation receipts, and related metadata as described in the Privacy Policy and then-current retention policy.
Losing Premium or other upload eligibility does not delete local records or queued changes, but uploads may pause until eligible access resumes. Signing out or deleting your account does not automatically erase business records that remain locally on a device. Account deletion and subscription cancellation are separate actions.
Metro Meter does not guarantee uninterrupted synchronization, successful conflict resolution, availability of every historical version or route object, or complete recovery after device loss or app-data erasure. Keep separate records required for your work and verify recovered information before relying on it.
14. Disclaimers
Metro Meter is provided “as is” and “as available.” We do not promise uninterrupted operation, error-free calculations, continuous or precise GPS delivery, successful notifications, uninterrupted sharing or payments, data restoration, or compatibility with every device, browser, network, jurisdiction, rate card, fleet policy, or business requirement. Metro Meter is not an emergency monitoring or dispatch service.
15. Limitation of Liability
To the maximum extent permitted by law, Metro Meter and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, inaccurate fares or locations, failed or delayed sharing, unauthorized link access caused by a recipient or user, disputes with passengers, regulatory penalties, or business losses arising from your use of the app. These limitations apply only to the extent permitted by law and do not exclude or limit liability for fraud, willful misconduct, gross negligence, or any liability or remedy that applicable law does not allow us to exclude or limit.
16. Disputes and binding arbitration
PLEASE READ: This section changes how legal disputes are resolved. Except for the exceptions below, you and Metro Meter agree to resolve disputes arising out of or relating to Metro Meter, these Terms, or our relationship through final and binding arbitration before one neutral arbitrator, rather than a lawsuit or trial before a judge or jury. Both parties waive a court trial and jury trial for claims covered by this agreement. The American Arbitration Association (AAA) will administer arbitration under its applicable rules, including its Consumer Arbitration Rules and Consumer Due Process Protocol when applicable. Rules and filing instructions are available at adr.org. The arbitrator may award remedies available under applicable law and will issue a reasoned written decision. Fees and costs will follow applicable law and AAA rules, including any amounts the business must pay; this agreement does not require a consumer to pay costs prohibited by those rules. A court of competent jurisdiction decides whether an arbitration agreement was formed and any challenge specifically to its enforceability. Judicial review of an award is limited as provided by law.
17. Whatcom County venue and governing law
The agreed arbitration location is Whatcom County, Washington. Participation by telephone, video, or written submissions is permitted where authorized by the applicable rules. If mandatory law or applicable consumer arbitration rules require a different or more convenient hearing location, those protections control; this provision does not require travel that those protections prohibit. The Federal Arbitration Act governs this arbitration agreement to the extent applicable; otherwise, Washington arbitration law applies. Washington law governs these Terms, subject to applicable federal law and nonwaivable consumer protections. Except where mandatory law or the exceptions below require otherwise, court proceedings permitted under these Terms must be brought in a state court of competent jurisdiction in Whatcom County, Washington, or, when federal subject-matter jurisdiction exists, the United States District Court for the Western District of Washington. A federal proceeding follows that court’s rules for courthouse assignment.
18. Arbitration exceptions and safeguards
Either party may bring an eligible individual claim in a small claims court with jurisdiction. Nothing prevents a report to or cooperation with a government agency, a claim that applicable law allows a person to keep out of predispute arbitration, or a request to a court for relief concerning arbitration as allowed by law. This agreement does not waive substantive statutory rights or remedies that cannot lawfully be waived. If AAA declines administration, the parties may agree on another neutral administrator; if they cannot agree, either party may seek relief from a court under applicable law. This provision does not override any right to proceed in court resulting from the business’s failure to pay required arbitration fees. If a provision of this arbitration agreement is unenforceable, it is severed only to the extent permitted by law, and the remaining provisions continue where legally enforceable. A future material change to this arbitration agreement will not govern a dispute of which either party had notice before that change; changes require legally sufficient notice and agreement.
19. Changes to the Service or Terms
We may update Metro Meter or these Terms from time to time. Continued use of the app after changes become effective means you accept the updated Terms.
20. Termination
We may suspend or terminate access to Metro Meter if we believe you have violated these Terms, used the app unlawfully, or created risk for the service or other users.
